Terms of Use — Atoseho

Working draft aligned to public Madagascar rules (not a lawyer opinion). Written for Atoseho against publicly available Madagascar texts (including consumer-information and electronic-contract practice, and platform norms). Have a Madagascar lawyer review when you can — especially company registration details, Ranked refunds, and liability wording.
1. Who we are (identity of the service)
These Terms of Use (“Terms”) govern your use of atoseho.com and related services (the “Service”).

By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms are available in English and French. If there is a conflict, the French version prevails for users in Madagascar, unless a mandatory rule says otherwise.
2. What Atoseho is (platform role)
Atoseho is a Madagascar discovery board. People and businesses can:
- Browse places, listings, and related content
- Submit free listings
- Optionally purchase Ranked placement to appear more prominently
- Share WhatsApp contact details so visitors can reach them
- Upload photos and logos for listings
We are an intermediary platform. We host and display listings. Unless we clearly say otherwise for a specific listing we publish ourselves:
- We do not own or operate the businesses or places listed
- We are not a party to deals between visitors and listing owners
- Listing owners are responsible for the accuracy of their offers, WhatsApp conversations, products, and services
3. Eligibility
You must be able to form a binding contract under applicable law. If you use the Service on behalf of a business, you confirm you have authority to bind that business.
The Service is not directed at children. Do not submit a listing for a minor without a parent or guardian supervising.
4. Your listings and content
You may submit listing information, WhatsApp numbers, photos, logos, and other materials (“Your Content”).
You keep ownership of Your Content. By submitting it, you grant Atoseho a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute Your Content as needed to operate and promote the Service.
You confirm that:
- You have the right to submit Your Content (including permission to publish any WhatsApp number and brand assets)
- Your Content is accurate and not misleading
- Your Content does not infringe others’ rights and is lawful for a public board
We may refuse, edit, hide, or remove content that violates these Terms, appears fraudulent, or harms users or the Service.
5. Free listings and Ranked spots
Free listings are subject to these Terms and any posting guidelines we publish.
Ranked spots are optional paid placements that can improve visibility for a stated period. Before you pay, we (and/or Lemon Squeezy at checkout) will show:
- What Ranked includes
- Duration
- Price and currency
- How payment works
Ranked is advertising / placement on the board, not an endorsement of quality, legality, or business results. We may change Ranked features or pricing for future purchases. We will honor a Ranked period you already paid for, unless the law or these Terms require otherwise.
6. Payments (Lemon Squeezy)
Payments for Ranked (and any other paid features) are processed by Lemon Squeezy. Their terms and privacy policy also apply to checkout and billing.
You must provide accurate payment details and be authorized to use the payment method. Taxes may apply based on your location and Lemon Squeezy’s tax handling.
Right of withdrawal / cancellation for Ranked
Ranked is a digital placement service.
- Before placement starts: you may cancel and ask for a refund by emailing [email protected] (and through Lemon Squeezy if their flow allows).
- After placement has started at your request: Ranked is generally non-refundable for the remaining period, except where (a) Lemon Squeezy’s buyer policies require a refund, (b) we failed to deliver the placement as described, or (c) mandatory Madagascar consumer law gives you a right we cannot exclude.
If the law requires us to state whether a right of withdrawal exists for a given offer, we will also show that clearly at checkout. Where mandatory consumer protections apply to you, they prevail over this section.
7. Electronic contract information
When you buy Ranked or another paid feature online, we aim to make the essential contract terms available before you pay, including identity/contact above, description of the service, price, and payment method. Keep your order confirmation from Lemon Squeezy as proof of purchase.
8. Acceptable use
You agree not to:
- Use the Service for illegal activity
- Post false, defamatory, or deceptive listings
- Impersonate others or misrepresent affiliation
- Upload malware or attack the Service
- Scrape or bulk-export data in a way that harms the Service or others’ privacy (beyond normal browsing and public features), without our written permission
- Publish someone else’s WhatsApp number or brand assets without permission
- Interfere with others’ use of the Service
We may suspend or terminate access for violations.
9. WhatsApp contacts
Listings may show WhatsApp details so visitors can message listing owners directly. Those conversations happen outside Atoseho. We are not responsible for WhatsApp chats, deals, or outcomes.
If you publish a WhatsApp number, you are responsible for how it is used and for applicable messaging and privacy rules.
10. Intellectual property
The Service (design, branding, software, and Atoseho-created content) is owned by Atoseho or its licensors. Do not copy or reuse our branding or platform materials except as needed for normal use, or with our written permission.
11. Third-party services
The Service may rely on or link to third parties (WhatsApp, Lemon Squeezy, hosting, analytics). Their own terms apply. We are not responsible for third-party sites or services.
12. Disclaimers
The Service is provided “as is” and “as available,” to the extent allowed by law.
We do not guarantee that listings are accurate or up to date, that the Service will be uninterrupted, or that Ranked will produce particular traffic or sales. Verify important details yourself.
Nothing in these Terms excludes mandatory consumer rights under Madagascar law (including Loi n°2015-014 on consumer protection where it applies) that cannot be waived by contract.
13. Limitation of liability
To the fullest extent permitted by applicable law — and without limiting mandatory consumer protections — Atoseho is not liable for indirect or consequential losses (including lost profits or data) arising from use of the Service, listings, WhatsApp contacts, or payments, except in cases of fraud, willful misconduct, or where the law forbids limitation.
Where liability can be limited, our total liability for a claim related to the Service is limited to the greater of (a) amounts you paid us for Ranked or other paid features in the 12 months before the claim, or (b) USD 50 (or equivalent).
14. Indemnity
To the extent allowed by law, you agree to defend and hold Atoseho harmless from claims arising from Your Content, your use of the Service, or your breach of these Terms (including reasonable legal costs).
15. Changes
We may update these Terms. We will post the new version on atoseho.com and update the “Last updated” date. Continued use after changes means you accept the new Terms, except where the law requires extra notice or consent.
16. Suspension and termination
You may stop using the Service anytime. We may suspend or end access for breach or if we discontinue the Service. Survival: ownership, licenses needed for historical public pages unless removed, disclaimers, liability limits, and governing law.
17. Complaints
For complaints about the Service or a Ranked purchase: [email protected]. We will try to respond within a reasonable time. This does not limit your right to seek help from competent Madagascar authorities or courts where applicable.
18. Governing law and disputes
These Terms are governed by the laws of Madagascar. Courts in Madagascar have jurisdiction, subject to mandatory rules that protect you as a consumer.
